Terms of Service
Last updated:
These terms govern how patent professionals and their organisations use Nodes-IP.
1. The agreement
Nodes-IP is provided by Nodes-IP, Roerstraat 25, 7523TK Enschede, Netherlands, Chamber of Commerce (KvK) number 42039112, VAT number NL005448587B73. These terms, the Data Processing Agreement (DPA) and any order Nodes-IP confirms by email together form the agreement between Nodes-IP and the customer. Where they conflict, the DPA prevails on personal data and the order on fees and term.
The customer is the business or professional that creates an account, or on whose behalf one is created, acting in the course of its trade or profession. Nodes-IP is not offered to consumers. The customer accepts these terms by signing in for the first time or by accepting an order, and its own purchasing or general terms do not apply.
2. The service
Nodes-IP provides prior art search, claims drafting, figures, application composition and an AI assistant for the customer’s matters. It does not file with patent offices, track deadlines, translate documents or give legal advice.
Nodes-IP keeps the service available as far as it reasonably can and may interrupt it for maintenance. Removing a substantial part of the service is announced by email at least 30 days ahead.
3. AI-assisted work
The AI assistant is an AI system. Claims, descriptions, figures, search results and answers in Nodes-IP can be produced by AI models, and that output can be incomplete or wrong. Prior art search covers only the databases Nodes-IP queries. The customer reviews every output before filing or relying on it, and remains responsible for its filings and for the advice it gives its clients.
4. Accounts and acceptable use
Each account is for one person. The customer keeps sign-in details confidential and is responsible for everything done through its accounts. The customer does not:
- upload content it has no right to use, or unlawful content
- try to reach another customer’s data, or bypass the service’s security or usage limits
- access the service with bots or scripts, or extract data from it in bulk
- reverse engineer the service, except where the law allows it
- share an account or resell access to the service
Nodes-IP may suspend an account that breaks these rules or puts the service at risk, and tells the customer why.
5. Customer content and confidentiality
The customer keeps all rights in its content, such as invention disclosures, claims, drafts, figures and uploaded files, and in the output Nodes-IP produces for it. Nodes-IP uses that content only to provide the service and keeps it confidential, including inventions that have not been filed. Neither Nodes-IP nor its AI providers train models on it. Personal data in that content is processed under the DPA.
6. Rights in the service
The software, design and name of Nodes-IP belong to Nodes-IP. The customer receives a non-exclusive, non-transferable right to use the service for its own work while the agreement runs. Feedback about the service may be used freely.
7. Fees and payment
Fees, seats and the billing period are those in the order. Prices are in euros and exclude VAT, and invoices are due within 30 days. If an invoice is still unpaid 14 days after a reminder, Nodes-IP may suspend access until it is paid. A change in fees is announced by email at least 30 days before the billing period it applies to.
8. Term and termination
A paid agreement runs for the period in the order and renews for the same period until either party cancels it by email. Cancellation takes effect at the end of the current period, and fees already paid are not refunded. Without a paid order, either party can end the agreement at any time.
Either party may end the agreement with immediate effect if the other seriously breaches it and does not put it right within 30 days of a notice by email. The customer can export its data from the account dialog until the agreement ends. What happens to that data afterwards is set out in the DPA.
9. Liability
Nodes-IP’s total liability under the agreement is limited to the fees the customer paid in the twelve months before the event that caused the damage. It is not liable for indirect or consequential damage, such as lost profit, lost data, missed deadlines, lost patent rights or claims by the customer’s clients. These limits do not apply to damage caused by intent or deliberate recklessness of Nodes-IP’s management.
The customer holds Nodes-IP harmless against claims by third parties that arise from the customer’s content or its breach of these terms.
10. Changes to these terms
Nodes-IP announces changes to these terms by email at least 30 days before they take effect. A customer that does not accept a change can end the agreement from that date.
11. Law and disputes
Dutch law governs the agreement, excluding the United Nations Convention on Contracts for the International Sale of Goods. Disputes go to the District Court of Overijssel, the Netherlands.
12. Contact and notices
Questions and notices go to info@nodes-ip.com, or by post to Nodes-IP, Roerstraat 25, 7523TK Enschede, Netherlands. Nodes-IP sends notices to the email address of the customer’s account.
